Allegations

On 9 April 2025, Greenpeace ONLUS (related to Greenpeace Italy) filed a complaint against oil company ENI S.p.A. at the Italian NCP. The complaint focused on ENI’s transaction with Ithaca Energy PLC, via which ENI became a shareholder of a company controlled by Delek Group Ltd, which is listed on the UN Database of Business Enterprises involved in activities supporting Israeli settlements in the Occupied Palestinian Territories, specifically the West Bank. Among other things, the complainant alleged that ENI failed to conduct adequate due diligence on the human rights risks association with the transaction, and that the transaction could result in indirect economic benefits to Delek, thereby risking ENI contributing to human rights harms. The complainants called on ENI to elaborate on the (heightened) due diligence that it had conducted in relation to the transaction.

Outcome

On 12 March 2026, the Italian NCP published its final statement, which detailed that the NCP had accepted the complaint in its (unpublished) initial assessment. The NCP’s acceptance was limited to ENI’s due diligence processes on the relevant transaction, the company’s risk management procedures related to participation in the governance of Ithaca Energy PLC, and the management (if any) of relationships with parties considered ‘at risk’ by international bodies, including the UN’s Database.

Following its initial assessment, the complainant accepted the NCP’s good offices, but the offer was rejected by ENI.

In its final statement, the NCP recommended for ENI to consider engaging in future NCP processes to clarify its due diligence and risk management processes, share information useful for preventing misunderstandings and strengthening trust with stakeholders, and explore potential process improvements consistent with the risk-based approach to due diligence in the OECD Guidelines.
